Core Agreements

Terms of Service

1. Acceptance

By creating an account or using the ASAP Our's 24-7 Network Services ("Company") platform ("Service"), you agree to be legally bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and legally able to enter binding contracts. Drivers must additionally satisfy the Driver Agreement (Section 7 below) and all state/federal licensing requirements.

3. The Platform Is a Marketplace

The Company is a technology platform that connects motorists needing roadside assistance with independent third-party service providers ('Drivers'). The Company is not a towing company, transportation carrier, or repair provider. All physical services are rendered by independent contractors who are solely responsible for their conduct, licensing, insurance, and compliance with law.

4. Account & Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately of any unauthorized access. The Company is not liable for losses from unauthorized use resulting from your failure to safeguard credentials.

5. User Conduct

You agree not to: (a) violate any law or regulation; (b) impersonate any person or entity; (c) harass, threaten, or defame any user or driver; (d) interfere with or disrupt the Service; (e) attempt to reverse-engineer, decompile, or otherwise extract source code; (f) use the Service to solicit business outside the platform; (g) circumvent payment mechanisms.

6. Fees & Payment

Service prices are displayed at booking and are server-authoritative. Payment is processed via Stripe. Prices may include base service fee, applicable taxes, and optional gratuity. Surge pricing may apply during peak demand periods; the total is always disclosed before checkout.

7. Cancellation Policy

Customers may cancel a booking free of charge before a Driver accepts. Once a Driver accepts and is en route, cancellations may incur a fee up to 50% of the service price at Company's discretion. Drivers may decline any request but repeated declines after acceptance may result in account suspension.

8. Refunds

Refund requests may be submitted within 14 days of the transaction to asaproadrunners@rs-asap.com. Refunds are evaluated case-by-case. If a Driver fails to arrive or the service cannot be completed for reasons attributable to the platform, a full refund will be issued.

9. Independent Contractors

Drivers are independent contractors, not employees, agents, or partners of the Company. Nothing in these Terms creates an employment, joint venture, franchise, or agency relationship between the Company and any Driver or User.

10. Intellectual Property

All content, code, designs, trademarks, and materials on the Service are the exclusive property of ASAP Our's 24-7 Network Services or its licensors, protected by U.S. and international copyright, trademark, patent, and trade secret laws. "ASAP Roadside" and "Roadrunner Rescue" and the roadrunner-with-lightning-bolt mark are trademarks of the Company. You are granted a limited, non-exclusive, revocable license to use the Service for its intended purpose only.

11. Termination

We may suspend or terminate your account at any time, with or without notice, for violation of these Terms or applicable law. You may terminate your account at any time by contacting support.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT DRIVERS WILL ACCEPT ANY PARTICULAR REQUEST OR MEET ANY SPECIFIC ARRIVAL TIME. ETAs ARE ESTIMATES ONLY.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASAP OUR'S 24-7 NETWORK SERVICES'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

14. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

15. Governing Law & Arbitration

⚠️ ATTORNEY REVIEW REQUIRED — this section is being updated for Indiana operations. These Terms are currently governed by the laws of the State of Indiana, USA (pending attorney-approved rewrite). Any dispute shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. You waive the right to a jury trial and to participate in class actions.

16. Changes

We may update these Terms at any time. Material changes will be notified via email and/or in-app notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.

Core Agreements

Privacy Policy

1. Scope

This Privacy Policy explains how ASAP Our's 24-7 Network Services collects, uses, and shares personal information when you use the Service.

2. Information We Collect

Account info (name, email, phone, password hash); Location data (only when actively using the Service — pickup/dropoff, driver dispatch, live tracking during a job); Vehicle information you provide; Payment metadata (via Stripe — we do NOT store card numbers ourselves); Device info (browser, OS, IP address); Usage logs; Photos or documents you upload.

3. How We Use It

To provide, maintain, and improve the Service; dispatch drivers; process payments; prevent fraud and abuse; comply with legal obligations; communicate service-related messages (transactional, not marketing unless opted in); anonymized analytics.

4. Sharing

We share your information with: (a) Drivers assigned to your job (name, phone, pickup location, vehicle info, notes) — only what's needed for the service; (b) Stripe (payment processing); (c) Twilio (SMS delivery) and SendGrid (email delivery) if you opt-in; (d) Service providers under strict confidentiality (hosting, analytics, support); (e) Law enforcement when legally compelled; (f) A successor entity in the event of merger or acquisition.

5. Retention

Active account: while the account exists. Booking + payment records: 7 years (tax + dispute resolution). Support tickets: 3 years. Location data: deleted 90 days after job completion unless part of an active dispute.

6. Your Rights (CCPA / GDPR / State Laws)

California, Colorado, Virginia, Connecticut, and Utah residents have rights to: (a) Know what personal info we collect; (b) Access your data; (c) Delete your data; (d) Correct inaccuracies; (e) Opt out of "sale" or "sharing" (we do not sell personal info); (f) Non-discrimination for exercising these rights. To submit a request, email asaproadrunners@rs-asap.com with subject "Privacy Request" — we respond within 45 days. EU / UK residents have similar rights under GDPR / UK-GDPR.

7. Children

The Service is not intended for anyone under 18. We do not knowingly collect information from children under 13. If we learn we have, we will delete it.

8. Cookies

We use essential cookies for authentication (httpOnly, Secure) and optional analytics cookies (only after your consent via the cookie banner). Manage preferences in your browser settings.

9. Security

We use industry-standard security including HTTPS, bcrypt password hashing, JWT auth in httpOnly cookies, database access controls, and regular security reviews. No system is 100% secure — you assume some risk when transmitting data online.

10. International Transfers

The Service is hosted in the USA. If you are outside the USA, you consent to your data being transferred to and processed in the USA.

11. Changes

We will notify you of material changes to this Policy. Continued use constitutes acceptance.

Driver

Driver Independent Contractor Agreement

1. Nature of Relationship

Driver is an independent contractor of ASAP Our's 24-7 Network Services, not an employee, agent, partner, or joint venturer. Driver is solely responsible for the manner and means of performing services, subject only to the standards in this Agreement.

2. Services

Driver agrees to accept and perform roadside assistance requests dispatched through the platform including but not limited to: light-duty towing, jump start, tire change, fuel delivery, vehicle lockout, winch-out, and passenger transport within their designated service zone.

3. Driver Eligibility & Compliance Requirements

Minimum age 21. · Valid US driver's license, Commercial Driver's License (CDL) where required for the service category (e.g., towing). · Active vehicle registration and current state inspection certificate. · Commercial General Liability insurance of at least $1,000,000 per occurrence naming Company as additional insured. · On-hook coverage of at least $50,000 and Garage-Keeper's Legal Liability of at least $100,000 for tow operators. · Motor Truck Cargo coverage of at least $50,000 for tow operators. · Pass a background and motor-vehicle-record check on onboarding and annually thereafter. · DOT compliance where applicable (USDOT/MC numbers, hours-of-service, drug/alcohol testing program). · State and municipal towing / roadside operator licenses where required by law. · Vehicles must display operator name and DOT number per applicable law. · Maintain a customer rating of at least 4.0 averaged over the trailing 90 days.

4. Compensation

Driver earns 70% of the customer-paid service fee, multiplied by their current tier multiplier (Bronze 1.00×, Silver 1.10×, Gold 1.20×). Tips are 100% Driver's. Payouts weekly via Stripe Connect on Thursdays for the prior Sunday-Saturday period. Company retains 30% of the service fee as platform fee. Driver is responsible for all taxes (Company will issue Form 1099-NEC annually for total earnings ≥ $600).

5. Founding Driver Program

The first 7 drivers accepted into each 9-mile service zone are designated 'Founding Drivers' and are exempt from the $29/month platform subscription fee for as long as they remain active (at least 1 completed job per rolling 30 days). Non-founding drivers may join a zone by paying the subscription; they are auto-promoted to Founding if a slot opens.

6. Term & Termination

This Agreement begins upon acceptance and continues until terminated. Either party may terminate at any time with or without cause. Termination-for-cause reasons include: material breach of this Agreement, criminal conduct, safety violations, fraud, or falling below the 4.0 rating threshold.

7. Non-Solicitation

During the term and for 6 months after termination, Driver agrees not to solicit customers introduced through the platform to conduct roadside services outside the platform. This provision does not restrict Driver from serving prior existing customers.

8. Confidentiality

Customer information, dispatch algorithms, pricing data, and platform trade secrets are Confidential Information. Driver must not disclose or use such information except to perform services.

9. Indemnification

Driver agrees to indemnify and hold harmless the Company from any claims, damages, or expenses arising from Driver's services, negligence, willful misconduct, or breach of this Agreement.

10. Insurance Certificate

Driver must provide a valid Certificate of Insurance (COI) naming the Company as additional insured before receiving dispatches. Driver must notify the Company within 24 hours if any insurance is cancelled, non-renewed, or materially modified.

11. Governing Law & Dispute Resolution

⚠️ ATTORNEY REVIEW REQUIRED — this Agreement is being updated for Indiana operations. Currently governed by Indiana law (pending attorney-approved rewrite). Disputes shall be resolved by binding arbitration under AAA Commercial Rules. Injunctive relief for IP or confidentiality breaches may be sought in court.

12. Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between the parties and supersedes all prior discussions.

Prohibited Conduct

You may NOT: use the Service for any unlawful purpose; harass, threaten, stalk, or defame any person; upload malicious code, viruses, or scripts; scrape, spider, or systematically extract data; reverse-engineer or attempt to derive source code; impersonate any person or entity; circumvent security, rate-limits, or payment mechanisms; use the Service to compete or build a competing platform; solicit customers or drivers off-platform to avoid fees; submit false, fraudulent, or misleading information; discriminate against any user or driver based on race, ethnicity, religion, sex, sexual orientation, gender identity, disability, national origin, age, or any protected characteristic.

Enforcement

Violations may result in immediate account suspension or termination, reporting to law enforcement, and civil or criminal action. We reserve the right to remove content or restrict access without notice.

Copyright Complaints

If you believe content on the Service infringes your copyright, send a written notice to the Designated Agent below including: (1) identification of the copyrighted work; (2) URL or specific location of the alleged infringement; (3) your contact information; (4) a statement that you have a good-faith belief the use is not authorized; (5) a statement under penalty of perjury that the information is accurate and you are authorized to act; (6) your physical or electronic signature.

Counter-Notice

If your content was removed and you believe in good faith it was removed by mistake or misidentification, you may submit a counter-notice under 17 U.S.C. § 512(g).

Repeat Infringers

We terminate accounts of repeat infringers in appropriate circumstances.

Payments

Refund & Chargeback Policy

Refund Eligibility

Full refund: (a) Driver never arrives despite acceptance; (b) Service cannot be completed for platform-attributable reasons; (c) Duplicate charge or billing error. Partial refund (up to 50%): (a) Service partially completed; (b) Documented delay > 90 minutes without notice. No refund: (a) Service completed as ordered; (b) Customer no-show; (c) Customer-caused delays or scope changes.

How to Request

Email asaproadrunners@rs-asap.com within 14 days with your booking ID, description of the issue, and any supporting photos or documents. We respond within 3 business days.

Chargebacks

Please contact us before filing a chargeback with your card issuer. Chargebacks filed without prior contact may result in account suspension pending investigation. Fraudulent chargebacks may be reported to the card networks and law enforcement.

Consent to Receive Messages

By providing your mobile number and opting in, you consent to receive transactional and service-related SMS messages from us (booking confirmations, driver assigned, arrival ETA, receipts). Message and data rates may apply. Message frequency varies.

How to Opt Out

Reply STOP to any message to opt out at any time. Reply HELP for help. You can also change your notification preferences in your account settings.

TCPA Compliance

We comply with the Telephone Consumer Protection Act (TCPA) and CTIA best practices. We do not send marketing SMS without express written consent.

Email Communications / CAN-SPAM

Types of Emails

Transactional emails (booking receipts, driver assigned, password reset) are sent to all users as necessary for the Service. Marketing emails (promotions, product updates) are only sent to users who opt in.

Unsubscribing

Every marketing email includes a one-click unsubscribe link. You may also email asaproadrunners@rs-asap.com with subject 'UNSUBSCRIBE' to opt out.

Compliance

We comply with the CAN-SPAM Act — clear sender identification, no deceptive subject lines, a physical address in every marketing message, and honoring opt-out requests within 10 business days.

Driver

Independent Contractor Tax Notice (W-9 / 1099-NEC)

Tax Status

As an independent contractor, you are responsible for reporting and paying all applicable federal, state, and local income and self-employment taxes on your earnings from the platform. The Company will not withhold any taxes from your payouts.

W-9 Form

Before receiving your first payout, you must complete IRS Form W-9 (or W-8BEN if non-US) providing your legal name, address, and TIN/SSN. Payouts are held until a valid W-9 is on file.

1099-NEC

If your total earnings from the platform reach $600 or more in a calendar year, the Company will issue Form 1099-NEC by January 31 of the following year. Copies are also filed with the IRS and applicable state tax agencies.

Recommended

Track your business mileage, fuel, insurance, phone bills, and other deductible expenses. Consult a tax professional. Consider quarterly estimated tax payments to avoid IRS underpayment penalties.

Driver

Driver Insurance Requirements Checklist

Required Coverage (all drivers)

Commercial Auto Liability: minimum $1,000,000 combined single limit per occurrence. Personal auto policies are NOT sufficient.

Tow Operators - Additional Coverage

On-hook: minimum $50,000. Garage-Keeper's Legal Liability: minimum $100,000. Motor Truck Cargo: minimum $50,000.

Additional Insured

All policies must name 'ASAP Our's 24-7 Network Services' as Additional Insured. A valid Certificate of Insurance (COI) must be on file before dispatch access is granted.

Notification

Driver must notify the Company within 24 hours of any policy cancellation, non-renewal, expiration, or material change. Failure to maintain valid insurance results in immediate dispatch suspension.

Renewal

Certificates must be renewed 30 days before expiration. The Company may audit COIs at any time.

Overview

Operating nationwide requires compliance with each state's specific licensing, motor carrier, and consumer-protection laws. This is a high-level summary; consult a licensed attorney and each state's DMV/PUC/DOT before dispatching in that state.

Common Requirements Across States

State business registration or foreign entity qualification; Sales/service tax registration where applicable; Motor Carrier Authority (some states); Consumer contract disclosure laws (e.g., California CLRA); Data breach notification laws (all 50 states have some form).

High-Attention States

California — AB5 independent contractor classification (must satisfy ABC test); CCPA/CPRA privacy; Prop 22 for gig platforms. New York — NYS DMV tow operator license, complex NYC tow rules. Illinois — BIPA if using biometrics. Texas — TDLR incidental tow requirements. Massachusetts — strict independent contractor test.

Federal

DOT/FMCSA regulations for interstate transport; ADA Title III for accessible tech; FCRA for background checks; TCPA for SMS; CAN-SPAM for email; FTC Act for deceptive/unfair practices; COPPA for under-13.

Recommended Action

Hire a nationwide business-law firm to run a state-by-state compliance audit before scaling beyond your home state. Budget approximately $5,000–$15,000 for initial audit.

Binding Arbitration & Class Action Waiver

Agreement to Arbitrate

Except for small claims (< $10,000) or IP/confidentiality injunctive relief, any dispute arising out of or related to this Agreement, the Service, or the relationship between you and the Company shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Location & Rules

Venue: USA nationwide operations. Arbitration for claims under $25,000 will be held via videoconference or in the county of the customer's registered service address, at the customer's option. The arbitrator's decision is final and enforceable in any court of competent jurisdiction.

Class Action Waiver

YOU AND THE COMPANY EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this waiver is found unenforceable, the entire arbitration clause shall be void.

Opt-Out

You may opt out of arbitration within 30 days of first accepting these Terms by emailing asaproadrunners@rs-asap.com with your full name and 'Arbitration Opt-Out' in the subject line.
